WOMEN IN BUSINESS LEADERSHIP PROGRAM

These Terms and Conditions apply to participation in the Women in Business Leadership Program (“Program”) delivered by The Seed Theory Pty Ltd, trading as The Seed Theory (“The Seed Theory”, “we”, “us” or “our”).

By registering, paying for or participating in the Program, you (“Participant” or “you”) agree to these Terms and Conditions.

1. About the Program

The Women in Business Leadership Program is a live, facilitated leadership-development experience designed to support women to strengthen their confidence, communication, leadership capability and professional development.

The Program may include:

  • Live online or in-person facilitated sessions

  • Leadership-development frameworks and practical tools

  • Participant workbooks and reflection activities

  • Group discussion and peer learning

  • A 90-Day Leadership Planner

  • A one-to-one coaching check-in, where included in the selected program

  • Limited post-program support or community access, where specified

The inclusions, dates, delivery method and duration applying to your registration will be those displayed on the Program sales page or confirmed in writing at the time of purchase.

2. Eligibility and Registration

You must be at least 18 years old and legally capable of entering into a binding agreement to register for the Program.

You agree to provide complete and accurate information during registration and to notify us if your contact details change.

Places are limited. Your place is not confirmed until we have received either:

  • Full payment;

  • The first payment under an approved payment plan; or

  • Written confirmation of an employer-sponsored or corporate registration.

We may contact you before the Program begins to understand your goals and ensure the Program is suitable for your needs.

3. Program Fees and Payment

All publicly advertised prices for individual participants are in Australian dollars and include GST unless expressly stated otherwise.

The fee and any applicable early-bird offer will be those displayed at the time of registration.

Where a payment plan is selected, the payment plan is an instalment arrangement for the full Program fee. It is not a weekly membership or a cancel-at-any-time subscription.

By selecting a payment plan, you agree to pay every instalment by its due date, even if you later choose not to attend or complete the Program, subject to the cancellation terms below and your rights under Australian Consumer Law.

If a payment is declined or overdue, we may contact you to arrange payment. We may suspend access to the Program or its materials if an amount remains outstanding after reasonable notice.

Corporate and employer-sponsored registrations may be subject to a separate proposal, invoice or written agreement.

4. Early-Bird and Promotional Pricing

Early-bird and promotional offers are only available during the stated promotional period and are subject to availability.

Promotional discounts cannot ordinarily be applied retrospectively to an earlier purchase or combined with another offer unless we agree otherwise in writing.

5. Participant Cancellations and Transfers

If you need to cancel your registration, please contact us at grow@theseedtheory.com.au as soon as possible.

For change-of-mind cancellations:

  • Cancellations received at least 14 days before the Program begins are eligible for a refund, less any non-recoverable payment-processing charges.

  • Cancellations received between 7 and 13 days before the Program begins may receive a 50% refund or, at our discretion, transfer their registration to another person or future cohort.

  • Cancellations received fewer than 7 days before the Program begins, or after the Program has commenced, are not eligible for a change-of-mind refund. We may, at our discretion, offer a transfer or credit where there are compassionate or exceptional circumstances.

Any replacement participant must meet the Program’s eligibility requirements and be approved by us before attending.

Nothing in this section limits any rights or remedies available to you under Australian Consumer Law.

6. Missed Sessions

The Program is designed as a connected, cumulative learning experience. Participants are encouraged to attend every live session.

If you miss a session:

  • You remain responsible for the full Program fee.

  • A refund is not provided solely because you were unable to attend.

  • We may provide learning materials or a brief catch-up option where reasonably available.

  • Session recordings are not guaranteed unless we have expressly advised participants that recordings will be provided.

You must not record a session without our prior written permission and the consent of anyone who may be recorded.

7. Program Changes, Postponement or Cancellation

We may make reasonable changes to session content, delivery platforms or scheduling where necessary to deliver the Program effectively.

If a material change is required, we will provide participants with reasonable notice wherever practicable.

We may postpone or cancel a cohort because of illness, emergency, insufficient enrolments, platform failure or circumstances outside our reasonable control.

If we cancel the Program and cannot provide a reasonable alternative, you may choose:

  • A transfer to another cohort;

  • A credit for another eligible The Seed Theory service; or

  • A refund of Program fees paid for services not provided.

We are not responsible for incidental costs incurred by a participant, such as travel, accommodation or lost working time, except where liability cannot legally be excluded.

8. Participant Conduct and Group Confidentiality

The Program is intended to provide a respectful, supportive and psychologically safe learning environment.

You agree to:

  • Treat other participants and facilitators respectfully.

  • Avoid discriminatory, abusive, threatening or disruptive behaviour.

  • Respect the privacy of other participants.

  • Not share another participant’s personal stories, workplace information or experiences outside the group without their express permission.

  • Not photograph, screenshot, record or distribute sessions or group discussions without permission.

  • Participate in a way that supports, rather than disrupts, the learning experience.

We may remove a participant whose conduct seriously or repeatedly breaches these requirements. Where reasonably practicable, we will first explain the concern and provide an opportunity to address it.

Because participants may independently disclose information to each other, The Seed Theory cannot guarantee that another participant will comply with their confidentiality obligations. Participants should use their judgment when sharing sensitive personal, workplace or commercial information.

9. Intellectual Property

All Program materials, frameworks, videos, presentations, templates, workbooks, graphics and resources are owned by or licensed to The Seed Theory and are protected by intellectual-property laws.

This includes, where applicable, The Seed Theory’s proprietary frameworks and resources, including RISE™, the 90-Day Planner™, the Leadership Development Gap™ and Capability Before Compliance™.

You receive a personal, limited, non-exclusive, non-transferable licence to use the materials for your own learning and professional development.

You must not, without prior written permission:

  • Copy or substantially reproduce Program materials.

  • Share login details or materials with another person.

  • Sell, sublicense, publish or distribute the materials.

  • Use the materials to create or deliver a competing commercial program.

  • Remove copyright, trademark or ownership notices.

You may use the ideas and learning from the Program in your own leadership practice, provided you do not reproduce or commercially exploit our protected materials.

10. Coaching and Wellbeing Disclaimer

The Program provides leadership development, coaching, education and general professional guidance.

It does not provide medical care, psychological treatment, counselling, legal advice, financial advice or crisis support. Participation is not a substitute for advice or treatment from an appropriately qualified professional.

You are responsible for deciding whether and how to apply the information discussed in the Program. If a topic causes distress or raises concerns about your wellbeing, you should pause participation where needed and seek support from a qualified health professional.

If you require urgent mental-health assistance, contact an appropriate emergency or crisis-support service.

11. Results Disclaimer

We will deliver the Program with reasonable care and skill. However, individual results vary and depend on factors including participation, personal circumstances and the application of the Program content.

We do not guarantee a promotion, employment outcome, financial result, business result or specific personal or professional transformation.

Testimonials and participant stories describe individual experiences and do not guarantee that every participant will achieve the same result.

12. Technology and Online Access

For online delivery, you are responsible for having a suitable device, reliable internet access and the software reasonably required to participate.

We are not responsible for disruptions caused by your device, internet connection or local environment.

If a significant technical failure within our control prevents us from delivering a session, we will take reasonable steps to reschedule the session or provide an appropriate alternative.

13. Privacy

We collect and use personal information to:

  • Process registrations and payments.

  • Communicate with participants.

  • Deliver and administer the Program.

  • Understand participant goals and support needs.

  • Meet our legal and administrative obligations.

Information may be processed through service providers such as Squarespace, Stripe, email platforms and online meeting platforms.

We will handle personal information in accordance with applicable privacy laws and our Privacy Policy.

Please avoid submitting sensitive health, workplace or third-party information unless it is reasonably necessary and you are comfortable doing so.

14. Australian Consumer Law

Our services come with guarantees that cannot be excluded under Australian Consumer Law.

Nothing in these Terms and Conditions excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, restricted or modified.

To the extent permitted by law, The Seed Theory is not responsible for indirect or consequential loss that was not reasonably foreseeable or caused by our failure to comply with an applicable legal obligation.

15. Updates to These Terms

We may update these Terms and Conditions for future registrations.

The terms applying to your purchase will generally be those presented or made available when you registered. We will not make a material retrospective change to your agreement without reasonable notice and, where required, your agreement.

16. Governing Law

These Terms and Conditions are governed by the laws of Queensland, Australia.

The parties submit to the jurisdiction of the courts and tribunals of Queensland and any courts entitled to hear appeals from them.

17. Severability

If part of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will continue to operate to the extent legally permitted.
